Terms of Use

Welcome to DialogueLab! These Terms of Use ("Terms") govern your access to and use of the DialogueLab web application and any related services (collectively, the "Service"), provided by Conrad A. Panganiban ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Description of Service
DialogueLab is a web-based tool designed to help writers, playwrights, and creators ("Users") develop scripts by converting written text into synthesized audio using third-party Application Programming Interfaces (APIs). The Service is intended for creative development and rehearsal purposes.
2. User Responsibilities
You are responsible for your use of the Service and for any content you provide, including compliance with applicable laws, rules, and regulations.
API Key: To use the Service, you must obtain your own API key from a third-party provider (e.g., Google Cloud Platform). You are solely responsible for securing your API key and for all activity that occurs under it, including any costs incurred from the third-party provider. We do not store your API key and have no access to it.
Content: You are solely responsible for the scripts and any other text or data you input into the Service ("User Content"). You represent and warrant that you own or have the necessary rights and permissions to use and process your User Content.
Acceptable Use: You agree not to use the Service for any unlawful or prohibited purpose. You will not use the Service to process any content that is defamatory, harassing, hateful, or that infringes on any third party's intellectual property or other rights.
3. User Content
Your Script is Yours. We do not claim ownership of your User Content. All scripts, characters, and dialogue you process through DialogueLab remain your intellectual property. We do not store, save, or share your User Content after your session is complete. The processing of your script occurs in real-time and is ephemeral.
4. Third-Party Services
The core functionality of DialogueLab relies on the Google Cloud Text-to-Speech API. Your use of this third-party service is subject to Google's own terms of service and privacy policies. Conrad A. Panganiban is not a party to your agreement with Google and is not responsible for the performance, availability, or security of the Google Cloud API. Any fees associated with your use of the Google Cloud API are your sole responsibility.
5. Disclaimer of Warranties
In short: The app is provided "as is," without any guarantees.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not warrant that the audio generated will be of a certain quality or will meet your expectations. We make no warranty regarding the accuracy, completeness, or reliability of any content obtained through the Service.
6. Limitation of Liability
In short: We are not responsible for any damages or losses that may result from your use of the app.
To the fullest extent permitted by applicable law, Conrad A. Panganiban shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to, use of, or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; (d) unauthorized access, use, or alteration of your transmissions or content; or (e) any costs, damages, or liabilities arising from your use of any third-party API.
In no event shall the aggregate liability of Conrad A. Panganiban exceed the greater of one hundred U.S. dollars ($100.00) or the amount you paid us, if any, in the past six months for the services giving rise to the claim.
You, the user, acknowledge and agree that you are solely responsible for how you use DialogueLab, the content you process with it, and any consequences that arise from its use. Conrad A. Panganiban is explicitly not responsible for the creative or commercial outcomes of using the Service or for any copyright infringement or other legal violations related to your User Content.
7. Indemnification
In short: If your use of the app gets us into legal trouble, you agree to cover our costs.
You agree to defend, indemnify, and hold harmless Conrad A. Panganiban from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
8. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
9. Governing Law
These Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions.
